Chairperson Green-Douglass called the Johnson County Board of Supervisors to order in the Johnson County Health and Human Services Boardroom at 9:02 a.m. Members present: V Fixmer-Oraiz, Jon Green, Lisa Green-Douglass, Royceann Porter, and Rod Sullivan.
Unless otherwise noted, all actions were taken unanimously.
RESOLUTION NO. 12-21-23-01
RESOLUTION IN SUPPORT OF MANUFACTURED HOUSING PARK RESIDENTS
Summary: Manufactured housing park residents have protested new changes since their parks were purchased by out-of-state investors. The laxity of State laws promote out-of-state investors purchasing whole neighborhoods that place our residents in jeopardy. The Board recognizes the importance of manufactured housing parks in our community’s housing stock. Leaders of government and throughout the community need to work together to solve the collective problem of the lack of rights of manufactured housing park residents. Board Action: Resolved that we see and hear manufactured housing park residents as they speak out on the unfairness, and offer gratitude for organizing and speaking out. We add the voice of the County to the calls for reducing the amount and frequency of rent increases, to restore park maintenance and other services previously relied upon prior to ownership changing to out-of-state investment corporations, and to fix State laws to address the unfairness that makes so many of our residents vulnerable to becoming the prey of unscrupulous investors, including but not limited to our endorsement of: 1) Statewide rent protections against unjustified rent increases, including a cap on frequency and percentage of rent increases and longer notice period for proposed increases; 2) A requirement that owners show good cause before evicting a resident; 3) Laws requiring fees to be capped at reasonable levels and tied to good cause so that owners cannot circumvent rent protections; 4) Laws that require fair leases that spell out park owners’ responsibilities to maintain clean and safe parks and prohibit abusive lease provisions; and 5) Laws giving residents the first right of purchase should an owner desire to sell the property, with a reasonable amount of time for residents to pursue local ownership. We call upon State lawmakers, if not willing to make the above changes to State law, to restore the ability of local communities to exercise home rule and remove barriers to the enactment of local ordinances that would accomplish the above list of goals. We support ongoing efforts by local governments to improve the safety and stability of residents in manufactured housing parks. We direct County staff to work with residents and other local governmental and non-governmental entities to work toward the principles and goals stated within this resolution. Motion by Sullivan, second by Fixmer-Oraiz, to approve Resolution No. 12-21-23-01 effective December 21, 2023. The Iowa Manufactured Home Residents’ Network representatives Candace J. Evans, Carol Graves, Lynda Parrish and Jennifer Scherer shared their experiences living in the manufactured housing parks, highlighted negative impacts on parks since new ownership has taken over, and shared results from a recent survey of manufactured housing park residents.

Summary: The purpose of this ordinance is to amend the Johnson County Unified Development Ordinance by changing the classification of the real estate described below from A-Agricultural to RE-Renewable Energy located in Fremont Township to wit:

RESOLUTION SETTING A PUBLIC HEARING ON VARIOUS DEVELOPMENT APPLICATIONS
Summary: The Johnson County Planning and Zoning Commission has filed its report and recommendations for certain actions. Board Action: Set a public hearing for January 11, 2024, at 5:30 p.m. CT in Room 203 B/C, Johnson County Health & Human Services Building, 855 South Dubuque Street, Iowa City, Iowa, on the following applications: Zoning applications filed by Susan and Rich Young (PZC-23-28445) and Hertz Farm management (PZC-23-28446), and platting application filed by Hertz farm Management (PZC-23-28447). Authorize the Auditor to publish the official notice of the above public hearing. Motion by Green, second by Sullivan, to approve Resolution No. 12-21-23-02 effective December 21, 2023.
RESOLUTION NO. 12-21-23-03
APPROVING AND AUTHORIZING A LOAN AGREEMENT AND PROVIDING FOR THE ISSUANCE OF A $12,920,399 TAXABLE GENERAL OBLIGATION COUNTY PURPOSE BOND, SERIES 2023A AND A $4,009,000 TAXABLE GENERAL OBLIGATION COUNTY PURPOSE BOND, SERIES 2023B
Summary: The Board has proposed to enter into loan agreements for the purpose of paying the cost of acquiring equipment and making improvements to County buildings; providing insurance or funding self-insurance programs or local government risk pools; financing the provision of vehicles for a regional transit district; funding programs to assist in providing affordable housing; acquiring vehicles and equipment for various County departments; and acquiring and developing land for a recreation or conservation purposes to be managed by the County conservation board, and has published notice of the proposed actions and held a hearing. It is necessary to authorize and approve a loan agreement (the “Series 2023 Loan Agreement”) and to make provision for the issuance of a Taxable General Obligation County Purpose Bond in the principal amount of $12,920,399 (the “Series 2023A Bond”) and a Taxable General Obligation County Purpose Bond in the principal amount of $4,009,000 (the “Series 2023B Bond” and, together with the Series 2023A Bond, the “Series 2023 Bonds”) in evidence of the County’s obligation under the Series 2023 Loan Agreement. Board Action: Resolved as follows:
Section 1. The County hereby determines to enter into the Series 2023 Loan Agreement with Hills Bank, Hills, Iowa, as purchaser (the “Purchaser”), in substantially the form as will be placed on file with the Board, providing for a loan to the County in the principal amount of $16,929,399 for the purpose or purposes set forth in the preamble hereof. The Chairperson and County Auditor are hereby authorized and directed to sign the Series 2023 Loan Agreement on behalf of the County, and the Series 2023 Loan Agreement is hereby approved.
Section 2. The Series 2023A Bond is hereby authorized to be issued in the principal amount of $12,920,399, shall be dated as of the date of its delivery to the Purchaser and shall be payable as to both principal and interest in the manner hereinafter specified. The Series 2023B Bond is hereby authorized to be issued in the principal amount of $4,009,000, shall be dated as of the date of its delivery to the Purchaser and shall be payable as to both principal and interest in the manner hereinafter specified.
The County Treasurer is hereby designated as the registrar and paying agent for the Series 2023 Bonds and may be hereinafter referred to as the “Registrar” or the “Paying Agent”.
Principal of the Series 2023A Bond shall be payable on April 15, 2024, along with interest at the rate of 6.00% per annum. Interest shall be calculated on the basis of a 360-day year comprised of twelve 30-day months. Payment of both principal of and interest on the Series 2023A Bond shall be made to the registered owner appearing on the registration books of the County, upon presentation and surrender of the Series 2023A Bond to the Paying Agent.
Principal of the Series 2023B Bond shall be payable in installments due in each of the years and in the respective amounts and shall bear interest at the respective rates, as follows:

Accrued interest on the Series 2023B Bond shall be payable semiannually on the first day of June and December, commencing June 1, 2024. Interest shall be calculated on the basis of a 360-day year comprised of twelve 30-day months.
Payment of both principal of and interest on the Series 2022B Bond shall be made to the registered owner appearing on the registration books of the County at the close of business on the fifteenth day of the month next preceding the payment date and shall be paid by check or draft mailed to the registered owner at the address shown on such registration books; provided, however, that the final installment of principal and interest shall be payable only upon presentation and surrender of the Series 2022B Bond to the Paying Agent.
The County reserves the right to prepay principal of the Series 2023 Bonds in whole or in part at any time prior to and in inverse order of maturity on terms of par and accrued interest. All principal so prepaid shall cease to bear interest on the prepayment date.
The Series 2023 Bonds shall be executed on behalf of the County with the official manual or facsimile signature of the Chairperson and attested by the official manual or facsimile signature of the County Auditor and shall be a fully registered bond without interest coupons. In case any officer whose signature or the facsimile of whose signature appears on the Series 2023 Bonds shall cease to be such officer before the delivery of the Series 2023 Bonds, such signature or such facsimile signature shall nevertheless be valid and sufficient for all purposes, the same as if such officer had remained in office until delivery.
The Series 2023 Bonds shall be fully registered as to principal and interest in the name of the owner on the registration books of the County kept by the Registrar, and after such registration, payment of the principal thereof and interest thereon shall be made only to the registered owner or its legal representatives or assigns. The Series 2023 Bonds shall be transferable without cost to the registered owner thereof only upon the registration books of the County upon presentation to the Registrar, together with either a written instrument of transfer satisfactory to the Registrar or the assignment form thereon completed and duly executed by the registered owner or the duly authorized attorney for such registered owner.
Section 3. The Series 2023A Bond shall be in substantially the following form:

Johnson County (the “County”), Iowa, for value received, promises to pay on the maturity date of this Bond to

or registered assigns, the principal sum of TWELVE MILLION NINE HUNDRED TWENTY THOUSAND THREE HUNDRED NINETY-NINE DOLLARS, together with interest on the outstanding principal hereof at the rate of 6.00% per annum, from the date of this Bond, or from the most recent payment date on which interest has been paid, except as the provisions hereinafter set forth with respect to prepayment prior to maturity may be or become applicable hereto. Interest will be calculated on the basis of a 360 -day year comprised of twelve 30-day months.
Both principal of and interest on this Bond are payable to the registered owner appearing on the registration books of the County maintained by the County Treasurer, Iowa City, Iowa (hereinafter referred to as the “Registrar” or the “Paying Agent”), upon presentation and surrender of this Bond to the Paying Agent.
This Bond is issued by the County to evidence its obligation under a certain Loan Agreement, dated as of December 27, 2023 (the “Series 2023 Loan Agreement”).
This Bond is issued pursuant to and in strict compliance with the provisions of Chapters 76 and 331 of the Code of Iowa, 2023, and all other laws amendatory thereof and supplemental thereto, and in conformity with a resolution of the County Board of Supervisors adopted on December 21, 2023, authorizing and approving the Series 2023 Loan Agreement and providing for the issuance and securing the payment of this Bond (the “Resolution”), and reference is hereby made to the Resolution and the Series 2023 Loan Agreement for a more complete statement as to the source of payment of this Bond and the rights of the owner of this Bond.
The County reserves the right to prepay principal of this Bond, in whole or in part, at any time prior to and in inverse order of maturity on terms of par and accrued interest. All principal so prepaid shall cease to bear interest on the prepayment date.
This Bond is fully negotiable but shall be fully registered as to both principal and interest in the name of the owner on the books of the County in the office of the Registrar, after which no transfer shall be valid unless made on said books and then only upon presentation of this Bond to the Registrar, together with either a written instrument of transfer satisfactory to the Registrar or the assignment form hereon completed and duly executed by the registered owner or the duly authorized attorney for such registered owner.
The County, the Registrar and the Paying Agent may deem and treat the registered owner hereof as the absolute owner for the purpose of receiving payment of or on account of principal hereof, premium, if any, and interest due hereon and for all other purposes, and the County, the Registrar and the Paying Agent shall not be affected by any notice to the contrary.
And It Is Hereby Certified and Recited that all acts, conditions and things required by the laws and Constitution of the State of Iowa, to exist, to be had, to be done or to be performed precedent to and in the issue of this Bond were and have been properly existent, had, done and performed in regular and due form and time; that provision has been made for the levy of a sufficient continuing annual tax on all the taxable property within the County for the payment of the principal of and interest on this Bond as the same will respectively become due; and that the total indebtedness of the County, including this Bond, does not exceed any constitutional or statutory limitations.

Johnson County (the “County”), Iowa, for value received, promises to pay in the manner hereinafter provided to

or registered assigns, the principal sum of FOUR MILLION NINE THOUSAND DOLLARS, together with interest on the outstanding principal hereof from the date of this Bond, or from the most recent payment date on which interest has been paid, except as the provisions hereinafter set forth with respect to prepayment prior to maturity may be or become applicable hereto.
Interest on this Bond is payable semiannually on June 1 and December 1 of each year, commencing June 1, 2024. Principal of this Bond is payable in installments in each of the respective years and in the respective installment amounts and bears interest at the respective rates, as follows:

Interest will be calculated on the basis of a 360-day year comprised of twelve 30-day months and principal and interest shall be paid in accordance with the schedule attached hereto and set forth as Exhibit A.
Both principal of and interest on this Bond are payable to the registered owner appearing on the registration books of the County maintained by the County Treasurer, Iowa City, Iowa (hereinafter referred to as the “Registrar” or the “Paying Agent”) at the close of business on the fifteenth day of the month next preceding the payment date in lawful money of the United States of America by check or draft mailed to the registered owner at the address shown on such registration books; provided, however, that the final installment of principal and interest shall be payable only upon presentation and surrender of this Bond to the Paying Agent.
This Bond is issued by the County to evidence its obligation under a certain Loan Agreement, dated as of December 27, 2023 (the “Series 2023 Loan Agreement”).
This Bond is issued pursuant to and in strict compliance with the provisions of Chapters 76 and 331 of the Code of Iowa, 2023, and all other laws amendatory thereof and supplemental thereto, and in conformity with a resolution of the County Board of Supervisors adopted on December 21, 2023, authorizing and approving the Series 2023 Loan Agreement and providing for the issuance and securing the payment of this Bond (the “Resolution”), and reference is hereby made to the Resolution and the Series 2023 Loan Agreement for a more complete statement as to the source of payment of this Bond and the rights of the owner of this Bond.
The County reserves the right to prepay principal of this Bond, in whole or in part, at any time prior to and in inverse order of maturity on terms of par and accrued interest. All principal so prepaid shall cease to bear interest on the prepayment date.
This Bond is fully negotiable but shall be fully registered as to both principal and interest in the name of the owner on the books of the County in the office of the Registrar, after which no transfer shall be valid unless made on said books and then only upon presentation of this Bond to the Registrar, together with either a written instrument of transfer satisfactory to the Registrar or the assignment form hereon completed and duly executed by the registered owner or the duly authorized attorney for such registered owner.
The County, the Registrar and the Paying Agent may deem and treat the registered owner hereof as the absolute owner for the purpose of receiving payment of or on account of principal hereof, premium, if any, and interest due hereon and for all other purposes, and the County, the Registrar and the Paying Agent shall not be affected by any notice to the contrary.
And It Is Hereby Certified and Recited that all acts, conditions and things required by the laws and Constitution of the State of Iowa, to exist, to be had, to be done or to be performed precedent to and in the issue of this Bond were and have been properly existent, had, done and performed in regular and due form and time; that provision has been made for the levy of a sufficient continuing annual tax on all the taxable property within the County for the payment of the principal of and interest on this Bond as the same will respectively become due; and that the total indebtedness of the County, including this Bond, does not exceed any constitutional or statutory limitations.

Section 5. The Series 2023 Bonds shall be executed as herein provided as soon after the adoption of this resolution as may be possible and thereupon shall be delivered to the Registrar for registration and delivery to the Purchaser, upon receipt of the loan proceeds, and all action heretofore taken in connection with the Series 2023 Loan Agreement is hereby ratified and confirmed in all respects.
Section 6. For the purpose of providing for the levy and collection of a direct annual tax sufficient to pay the principal of and interest on the Series 2023B Bond as the same become due, there is hereby ordered levied on all the taxable property in the County in each of the years while the Series 2023B Bond is outstanding, a tax sufficient for that purpose, and in furtherance of this provision, but not in limitation thereof, there is hereby levied on all the taxable property in the County the following direct annual tax for collection in each of the following fiscal years:
For collection in the fiscal year beginning July 1, 2024, sufficient to produce the net annual sum of $1,500,703;
For collection in the fiscal year beginning July 1, 2025, sufficient to produce the net annual sum of $1,419,187.
Section 7. A certified copy of this resolution shall be filed with the County Auditor, and the Auditor shall be and is hereby instructed to enter for collection and assess the tax hereby authorized. When annually entering such taxes for collection, the County Auditor shall include the same as a part of the tax levy for Debt Service Fund purposes of the County and when collected, the proceeds of the taxes shall be converted into the Debt Service Fund of the County and set aside therein as a special account to be used solely and only for the payment of the principal of and interest on the Series 2023B Bond hereby authorized and for no other purpose whatsoever.
Section 8. The interest or principal and both of them falling due in any year or years shall, if necessary, be paid promptly from current funds on hand in advance of taxes levied and when the taxes shall have been collected, reimbursement shall be made to such current funds to the sum thus advanced.
Section 9. All resolutions or parts thereof in conflict herewith are hereby repealed to the extent of such conflict.

Motion by Porter, second by Sullivan, to approve Amendment No. 1 to the American Rescue Plan Act Subrecipient Agreement Master Agreement with Big Brothers Big Sisters of Johnson County, Iowa City, for staffing changes related to the Sports Buddies Program, as contained in the agenda packet of this meeting.
Motion by Porter, second by Green, to approve Change Order No. 3 for the Historic Poor Farm Healing Trail Project with All American Concrete, West Liberty, for additional services beyond original project specifications, in an amount of $1,350.12.
